Terms of Service

1. Acceptance of Terms

By accessing, downloading, installing, or using the Earnify application ("Service," "App," or "Platform"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms," "Agreement," or "ToS") and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and Earnify ("Company," "we," "us," or "our").

If you do not agree with any part of these Terms, you must not access or use our Service. By continuing to use Earnify, you acknowledge that you have read, understood, and agree to be bound by these Terms and any future modifications thereto.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use this Service. By using Earnify, you represent and warrant that you meet these age requirements and have the legal capacity to enter into this Agreement.

2.2 Account Creation and Security

  • You may register for an account using your email address, Google account, or Apple account

  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including passwords and authentication methods

  • You agree to immediately notify us of any unauthorized use of your account or any other breach of security

  • You are fully responsible for all activities that occur under your account, whether or not authorized by you

  • We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised

2.3 Account Information Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy and completeness.

3. Description of Services

3.1 Core Functionality

Earnify provides a digital platform that enables users to:

  • Manually track and record income from various sources

  • Calculate estimated taxes based on user-provided information and rates

  • Manage and organize financial data and records

  • Access historical income data and analytics

  • Export financial data in various formats (Premium feature)

3.2 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

4. User Responsibilities and Prohibited Uses

4.1 Data Accuracy and Completeness

  • You are solely responsible for the accuracy, completeness, and timeliness of all information you enter into the Service

  • You must provide accurate financial data, tax rates, and contribution rates

  • You acknowledge that the quality of our Service depends on the accuracy of the information you provide

  • You agree to regularly review and update your information to ensure continued accuracy

4.2 Tax and Legal Compliance

  • You are responsible for setting and updating your tax rates, contribution rates, and other financial parameters

  • You acknowledge that Earnify does not provide tax, legal, or financial advice

  • The Service is not intended to replace professional tax preparation services or financial consultation

  • You are solely responsible for compliance with all applicable tax laws and regulations in your jurisdiction

  • You agree to consult with qualified tax professionals or financial advisors for official tax planning and compliance purposes

4.3 Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws

  • Attempt to gain unauthorized access to our systems, other users' accounts, or any part of the Service

  • Interfere with or disrupt the integrity or performance of the Service

  • Upload, transmit, or distribute any malicious code, viruses, or harmful content

  • Use automated systems, bots, or scripts to access the Service without prior written consent

  • Reverse engineer, decompile, or attempt to extract source code from the Service

  • Resell, sublicense, or redistribute the Service without explicit written permission

  • Use the Service to store or transmit any content that violates third-party rights or applicable laws

5. Premium Features and Subscription Terms

5.1 Premium Subscription Benefits

Premium subscribers receive access to enhanced features including:

  • Unlimited income history storage and access

  • Advanced notification and alert systems

  • Data export capabilities in multiple formats

  • Priority customer support

  • Additional analytical tools and reporting features

5.2 Billing and Payment Terms

  • Premium subscriptions are billed monthly in advance on a recurring basis

  • Subscription fees are charged to your designated payment method on the same calendar day each month

  • All fees are non-refundable except as expressly stated in these Terms or required by applicable law

  • You authorize us to charge your payment method for all applicable fees

  • Failure to pay fees may result in suspension or termination of your Premium subscription

  • All subscription fees are exclusive of applicable taxes, which will be added to your bill based on your location.

5.3 Subscription Management and Cancellation

  • You may cancel your Premium subscription at any time through your account settings or by contacting customer support

  • Cancellation will take effect at the end of your current billing cycle

  • You will retain access to Premium features until the end of your paid billing period

  • No refunds will be provided for partial billing periods or unused Premium features

  • Upon cancellation, your account will revert to the free tier with associated limitations

5.4 Price Changes

We reserve the right to modify subscription pricing with at least thirty (30) days advance notice. Price changes will take effect at the start of your next billing cycle after the notice period.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and underlying technology, is owned by Earnify and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted only a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 User Content

  • You retain ownership of any data, information, or content you submit to the Service ("User Content")

  • By submitting User Content, you grant us a limited, non-exclusive license to use, store, and process such content solely for the purpose of providing the Service

  • You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

  • The Service will meet your specific requirements or expectations

  • The Service will be uninterrupted, timely, secure, or error-free

  • Any information, content, or data obtained through the Service will be accurate or reliable

  • Any defects in the Service will be corrected

8.2 Financial and Tax Calculation Disclaimers

EARNIFY EXPLICITLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS REGARDING:

  • The accuracy of tax calculations, income projections, or financial estimates

  • The completeness or reliability of financial data analysis

  • The suitability of the Service for specific tax or financial purposes

  • Compliance with applicable tax laws or regulations

THE SERVICE IS NOT INTENDED TO PROVIDE TAX, LEGAL, OR FINANCIAL ADVICE. ALL CALCULATIONS AND ESTIMATES PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL EARNIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES

  • ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE

  • ANY DAMAGES ARISING FROM ERRORS IN CALCULATIONS, DATA LOSS, OR SYSTEM FAILURES

  • ANY DAMAGES RELATED TO TAX COMPLIANCE, PENALTIES, OR LEGAL CONSEQUENCES

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.4 User Assumption of Risk

You acknowledge and agree that:

  • You use the Service at your own risk and discretion

  • You are solely responsible for any decisions made based on information provided by the Service

  • You will not rely solely on the Service for tax compliance or financial decision-making

  • You will seek professional advice for important tax and financial matters

9. Indemnification

You agree to defend, indemnify, and hold harmless Earnify, its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Any tax liabilities, penalties, or legal consequences arising from your use of the Service

10. Account Termination

10.1 Termination by User

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings

  • Contacting our customer support team

  • Following the account closure procedures outlined in our Privacy Policy

10.2 Termination by Earnify

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any reason including:

  • Violation of these Terms

  • Fraudulent, abusive, or illegal activity

  • Extended periods of inactivity

  • Technical or security reasons

10.3 Effect of Termination

Upon termination of your account:

  • Your access to the Service will be immediately revoked

  • Your data will be deleted in accordance with our Privacy Policy and data retention policies

  • Any outstanding Premium subscription fees will remain due and payable

  • No refunds will be provided for unused Premium subscription periods

  • Sections of these Terms that by their nature should survive termination will remain in effect

11. Updates and Modifications to Terms

11.1 Right to Modify

We reserve the right to update, modify, or replace these Terms at any time at our sole discretion. We will make reasonable efforts to provide notice of material changes.

11.2 Notification of Changes

We will notify you of significant changes to these Terms by:

  • Sending an email to your registered email address

  • Displaying a prominent notice within the Service

  • Updating the "Last Updated" date at the top of these Terms

11.3 Acceptance of Changes

Your continued use of the Service after any modifications to these Terms constitutes acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Service.

12. Governing Law and Jurisdiction

12.1 Governing Law

  • For users in the European Union: These Terms are governed by the laws of France and the General Data Protection Regulation (GDPR)

  • For users in the United States: These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles

  • For users outside the European Union and the United States: These Terms are governed by the laws of France, without regard to conflict of law provisions

12.2 Dispute Resolution

  • For users in the European Union: Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of France

  • For users in the United States: Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of the State of California

  • For users outside the European Union and the United States: Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of France

12.3 Class Action Waiver

Where permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Miscellaneous Provisions

13.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of these Terms will remain in full force and effect.

13.2 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Earnify regarding the Service and supersede all prior agreements and understandings.

13.4 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

13.5 Force Majeure

We will not be liable for any delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or technical failures.
